Master Service Agreement

1. DEFINITION OF SERVICES

ServicePilot AI (the "Provider") shall provide an autonomous AI-powered virtual front desk system including:

  • 24/7 Voice AI Call Answering
  • Automated SMS Text-Back
  • Website Chat & Lead Qualification
  • CRM Integration & Calendar Synchronization
  • Automated Service Reminders & Reactivation Campaigns

2. SUBSCRIPTION FEES & PAYMENT TERMS

2.1 Tiered Pricing: Client agrees to pay the monthly subscription fee based on the selected Tier:

  • Core Tier: $1,500/month
  • Pro Tier: $2,500/month
  • Regional Growth / MSO: $3,500/month

2.2 Billing Cycle: Fees are billed monthly in advance. Payments are processed automatically via credit card or ACH on the anniversary of the Effective Date.

2.3 Auto-Renewal: This Agreement shall automatically renew for successive one-month terms unless either party provides written notice of non-renewal at least thirty (30) days prior to the end of the current term.

3. DATA PRIVACY & COMPLIANCE

3.1 TCPA/SMS Compliance: Client represents that it has obtained all necessary consents from its customers to receive SMS communications. Provider provides the technical framework for "STOP" and "HELP" keywords, but Client is responsible for maintaining its own opt-in records.

3.2 Call Recording: Client acknowledges that calls handled by the AI may be recorded for quality assurance and training purposes. Client is responsible for ensuring compliance with "two-party consent" state laws.

3.3 Data Ownership: Client retains all ownership rights to "Client Data". Provider is granted a limited license to use anonymized data to improve AI performance.

4. SERVICE LEVEL & LIMITATIONS

4.1 AI Nature: Client understands that the Service is provided via Artificial Intelligence. While highly accurate, the AI may occasionally fail to interpret complex human speech. Client agrees to monitor AI activity via the Provider Dashboard.

4.2 Limitation of Liability: In no event shall Provider be liable for any indirect, incidental, or consequential damages. Provider’s total liability shall not exceed the fees paid by Client in the preceding three (3) months.

5. TERMINATION

Either party may terminate this agreement for any reason with thirty (30) days' written notice. Upon termination, Client's access to the AI Dashboard will be revoked.

6. CANCELLATION & REFUND POLICY

6.1 Cancellation: Clients may cancel their subscription at any time via the Provider Dashboard or by contacting support. Cancellation will take effect at the end of the current billing cycle.

6.2 Refunds: Due to the nature of the Service (AI resources and infrastructure allocation), ServicePilot AI does not typically offer refunds for partial months of service. However, if you are unsatisfied with the Service within the first thirty (30) days, please contact us for a case-by-case review.
